PUBLIC OFFER / GENERAL TERMS AND CONDITIONS FOR ENROLLMENT IN A PAID EDUCATIONAL PROGRAM

1. GENERAL PROVISIONS

1.1. These public offer terms (hereinafter referred to as the “Terms”) govern the legal relations arising between the participants of the courses specified in Clause 2.1 of these Terms (hereinafter referred to as the “Participant”) and the Simonian Educational Foundation (hereinafter referred to as the “Foundation”).

1.2. Registration by the Participant on the website https://tumolabs.ai/ and acceptance of these Terms shall be deemed as acceptance (acquiescence) of this public offer and confirms that the Participant fully and unconditionally agrees to these Terms. The Privacy Policy published on https://tumolabs.ai/ forms an integral part of these Terms.

1.3. Matters not regulated by these Terms shall be governed by the legislation of the Republic of Armenia.

2. DESCRIPTION OF THE COURSES

2.1. In accordance with its internal procedures and regulations, the Foundation organizes an introductory educational program on artificial intelligence called AIOnramp (hereinafter also referred to as the “Program”), aimed at familiarizing participants with the practical applications of artificial intelligence technologies and developing relevant skills.

2.2. Within the framework of the Program, the following three courses will be delivered:
Course 1: “AI Warmup” – conducted three times per week, with a duration of up to two weeks,
Course 2: “AI Studio” – conducted twice per week, with a duration of up to six weeks,
Course 3: “AI Bootcamp” – conducted on Saturdays and Sundays.

2.3. The detailed description of the courses, their schedule, and other specifics shall be determined in accordance with the information published on https://tumolabs.ai/ and the applicable procedures and regulations.

2.4. The courses shall be conducted either remotely or in person. In-person courses will take place at: 2/3 Halabyan Street, Yerevan, Republic of Armenia.

2.5. In case of any changes to the course schedule, location, or program, the Foundation shall notify the Participant in advance by posting announcements on the Program website, sending emails, or using other communication methods.

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

3.1. The Participant shall:

3.1.1. pay the tuition fee specified under these Terms within the deadlines,

3.1.2. not publish, on any platform, without the Foundation’s consent, any professional materials or information obtained during the course of study,

3.1.3. fully compensate the Foundation for any damage caused,

3.1.4. refrain from using personal and/or other participants’ computers, phones, and/or other technical devices during the course for non-educational purposes,

3.1.5. not disseminate false or defamatory information about other Participants, course instructors, staff members, or the Foundation,

3.1.6. comply with rules of conduct and ethics, as well as with the requirements of the Foundation’s internal legal acts, rules, and procedures,

3.1.7. attend classes in accordance with the schedule,

3.1.8. notify the Foundation of absence from or withdrawal from the course by sending an email to ai@tumolabs.am,

3.1.9. inform the Foundation in advance of any health issues that may pose a risk to the health of others or hinder or limit the Participant’s ability to take part in the educational process,

3.1.10. complete educational assignments given by the Foundation’s staff and instructors within the deadlines,

3.1.11. demonstrate respectful behavior towards the Foundation’s staff and other Participants, respect their honor and dignity, as well as their views and beliefs,

3.1.12. take proper care of the property of the Foundation and third parties, and in case of damage, destruction, or rendering it unusable, fully compensate for the damages caused,

3.1.13. uphold the good reputation of the Foundation.

3.2. The Participant shall have the right to:

3.2.1. receive complete information regarding the educational process,

3.2.2. cancel their participation in the Courses by notifying the Foundation at least one calendar day prior to the start.

3.3. The Foundation shall have the right to:

3.3.1. determine the instructors, course content, teaching methods, and formats,

3.3.2. audio- and video-record the training sessions and use such recordings in advertisements, on social platforms, websites, or for other purposes set out by the Foundation’s charter,

3.3.3. collect and retain Participants’ personal data necessary for the effective implementation of the rights and obligations set forth in these Terms,

3.3.4. use materials created by Participants in accordance with the purposes defined in the Foundation’s charter,

3.3.5. monitor and supervise Participants’ attendance and discipline,

3.3.6. send notices, individual legal acts, and other documents to Participants via their email addresses, which shall be deemed proper notification,

3.3.7. cancel the Course in case of insufficient enrollment, by notifying confirmed Participants at least 3 calendar days in advance and subject to refund of the paid fee.

3.4. The Foundation shall:

3.4.1. organize and conduct the educational process in accordance with the curriculum and these Terms.

4. COURSE FEES, PAYMENT PROCEDURE AND TERMS

4.1. The participation fees for the Courses are as follows:

4.1.1. “AI Warmup” – AMD 50,000, inclusive of all applicable taxes,

4.1.2. “AI Studio” – AMD 100,000, inclusive of all applicable taxes,

4.1.3. “AI Bootcamp” – AMD 150,000, inclusive of all applicable taxes.

4.2. The Participant shall pay the course fee in full, by non-cash (cashless) payment, prior to the commencement of the Course, during the acceptance of these Terms. Failure to pay the full participation fee or to make payment prior to the start of the relevant Course shall result in this public offer being deemed not accepted.

4.3. The course participation fee is non-refundable, except in cases where the Course is cancelled by the Foundation or where participation is cancelled by the Participant at least three (3) calendar days prior to the start of the Course. In case of cancellation after attending the first class, a 50% refund of the fee shall apply.

4.4. If the Participant, having accepted these Terms and paid the applicable course fee, decides not to participate in the Course but wishes to attend future courses, they may, prior to the Course start date, receive a credit equivalent to the amount paid. Such credit may be used within three (3) months to enroll in other courses.

5. BREACH OF TERMS AND TERMINATION OF PARTICIPATION

5.1. The Foundation may unilaterally terminate the Participant’s enrollment in the Course in the following cases:

5.1.1. failure to pay the tuition fee within the trimline prescribed under these Terms,

5.1.2. breach of any obligation set out under these Terms,

5.1.3. the Participant’s enrollment shall be deemed terminated as of the day following the date on which the relevant notice is sent to the Participant.

6. LIABILITY

6.1. The Parties shall be liable for failure to perform or improper performance of their obligations in accordance with the legislation of the Republic of Armenia.

6.2. The Participant confirms that they do not have any health conditions that would prevent or may prevent participation in the Course. If such conditions exist, the Participant must inform the Foundation, and participation shall be subject to the Foundation’s consent. The Foundation shall not be liable for any harm caused to the Participant’s life or health during their presence on the Foundation’s premises due to such conditions.

6.3. The Participant shall be liable for any damage caused to the property of the Foundation or third parties and undertakes to fully compensate for such damage.

7. FORCE MAJEURE

7.1. The Parties shall be released from liability, in whole or in part, for failure to perform their obligations under these Terms if such failure is due to force majeure circumstances arising after the acceptance of this public offer, which the Parties could neither foresee nor prevent. Such circumstances include, but are not limited to, earthquakes, floods, fires, war, declaration of martial law or a state of emergency, acts of state authorities, and other events that render the performance of obligations under these Terms impossible.

8. DISPUTE RESOLUTION

8.1. Any disputes arising in connection with these Terms shall be resolved through negotiations. If no agreement is reached, the dispute shall be submitted to the court of general jurisdiction at the location of the Foundation.

9. COMPLETION OF TRAINING

9.1. Participants who successfully complete the Course shall be provided with an electronic certificate of participation within ten (10) working days.

10. FINAL PROVISIONS

10.1. By accepting these Terms, the Participant consents that all results of work, designs, and other intellectual property objects created individually or jointly by the Participant during the Course shall be assigned to the Foundation with exclusive proprietary rights. The Foundation shall have the right, at its sole discretion, to freely use, manage, modify, supplement, and transfer such rights to third parties.

10.2. Notifications and/or any communications to the Participant shall be made via electronic means. Upon registration on https://tumolabs.ai/, the Participant provides their email address, which shall be used by the Foundation for communication purposes, including sending notifications, documents, and any other necessary information.

10.3. Any notification sent by email shall be deemed received at the date and time recorded in the electronic system as the time of sending. If the email is sent outside normal working hours, it shall be deemed received at 10:00 AM on the next working day.

10.4. Amendments and supplements to these Terms shall be made unilaterally by the Foundation and shall enter into force from the date of their publication on https://tumolabs.ai/.
